I. Standard Business Terms
§ 1 Basic provisions

The following business terms are applicable to all contracts which you conclude with us as a supplier (C.S.K. Trade & Solutions GmbH) via the website ariagata.com. Unless otherwise agreed upon, the inclusion, if necessary, of your own conditions is ruled out.

A consumer in the sense of the following regulations is every natural person who concludes a legal transaction which, to an overwhelming extent, cannot be attributed to either his commercial or independent professional activities.
The term businessman refers to every natural person, legal person or legally responsible partnership that concludes a legal transaction in pursuance of his/its independent professional or commercial activity.
§ 2 Conclusion of the contract

The subject-matter of the contract is the selling of products.

As soon as you place the respective product on our website, we shall submit to you a binding offer to conclude a contract via the online shopping cart system under the conditions specified in the item description.

The contract is concluded via the online shopping cart system as follows:
The goods intended for purchase are placed in the “shopping cart”.
You can access the shopping cart via the corresponding button in the navigation bar and make changes at any time.
After clicking “Checkout”, “Proceed to order” or a similar button and entering personal data as well as payment and shipping information, the order data is displayed as an order overview.
If you use an instant payment system (e.g. PayPal (Express/Plus/Checkout), Amazon Pay, Sofort), you will either be directed to the order overview page in our online shop or forwarded to the website of the respective payment provider.
After completing the payment process, the order data will be displayed again as an order overview.
Before submitting the order, you may review, amend (also using the browser’s “Back” button) or cancel the purchase.
By submitting the order via the corresponding button (e.g. “order with obligation to pay”, “buy”, “pay now” or similar wording), you legally accept the offer and the contract is concluded.

You are not bound by enquiries regarding the creation of an offer submitted to us. We provide a binding textual offer (e.g. via e-mail), which can be accepted within 5 days.

Order execution and transmission of all contract-related information takes place via e-mail, partly automatically. You must therefore ensure that the e-mail address provided is correct and that receipt of e-mails is technically ensured, including that messages are not blocked by spam filters.
§ 3 Special agreements related to offered payment methods
1. Payment via “PayPal” / “PayPal Checkout”
Payments are processed via PayPal (Europe) S.à r.l. et Cie, S.C.A.,
22–24 Boulevard Royal, L-2449 Luxembourg.
Available PayPal payment methods are displayed during the ordering process. PayPal may use additional payment services. Any applicable special conditions will be communicated separately.

2. Payment via “Shopify Payments”
Payments are processed via Shopify Payments, provided by Shopify International Limited,
2nd Floor Victoria Buildings, 1–2 Haddington Road, Dublin 4, D04 XN32, Ireland.
Payment processing is carried out by Stripe Payments Europe, Ltd.,
1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland.

§ 4 Right of retention, reservation of proprietary rights

A right of retention may only be exercised insofar as it concerns claims arising from the same contractual relationship.

The goods remain our property until the purchase price has been paid in full.
§ 5 Warranty

Statutory warranty rights apply.

Consumers are requested to check goods immediately upon delivery for completeness, visible defects and transport damage and to notify us and the carrier in writing without delay. Failure to do so does not affect statutory warranty rights.

Deviations from objective requirements of the goods shall only be deemed agreed if expressly disclosed prior to contract conclusion and separately agreed upon.
§ 6 Choice of law, place of fulfilment, jurisdiction

German law applies, unless this deprives consumers of mandatory legal protection under the law of their country of residence.

If you are a businessman, a legal entity under public law or a special fund under public law, our registered office is the exclusive place of jurisdiction and place of fulfilment.

The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.

The technical steps, contract conclusion and correction options follow the provisions outlined under § 2 “Conclusion of the contract” in these Standard Business Terms.
3. Contractual language, storage of contract text

Contract language is English.

The complete contract text is not stored. Prior to submitting the order, contract data may be printed or saved using the browser’s print function. After order receipt, all legally required information and these Standard Business Terms are sent via e-mail.

For quotation requests outside the shopping cart system, contractual information is provided in written form (e.g. via e-mail) and may be saved or printed securely.
4. Main features of the product or service
The essential characteristics of the goods and/or services are specified in the respective offer.
5. Prices and payment arrangements

All prices stated are total prices including all applicable taxes.

Shipping costs are not included and are shown separately during the order process unless free delivery is confirmed.

For deliveries outside the EU, additional costs (e.g. customs duties, taxes, transfer fees) may arise and must be borne by the customer.

Transfer fees may also apply if payment is initiated from outside the EU.

Available payment methods are displayed on the website or specified in the offer.

Unless otherwise stated, payment is due immediately upon contract conclusion.
6. Delivery conditions

Delivery conditions, delivery dates and possible restrictions are stated in the respective offer.

For consumers, the risk of accidental loss or deterioration passes only upon delivery, unless the customer independently commissions a carrier not designated by us.
7. Statutory warranty rights
Liability for defects is governed by the “Warranty” provisions in these Standard Business Terms (Part I).
